(Effective June 1, 2008)

In order to qualify for wholesale pricing of Viducci's Garden Products a business must provide their resale certificate number as well as their EIN number. All trade customers must have a physical retail establishment where the Viducci's Garden brand can be properly displayed and repetitively sold.

Terms:

All initial orders require a 30% deposit with balance paid C.O.D.

Freight and delivery charges for product purchased must be paid upon delivery to the customer's site. Shipping rates are estimated at 30% to 50% of your total order, depending on the size, weight and delivery destination of your order.

Payment of invoices can be made by company check or credit card (Master Card & Visa).

Net 30 day terms will be made available to repeat customers upon submission and acceptance of credit references.

Shipping:

All container purchases are shipped FOB Ho Chi Minh City, Vietnam. Viducci's Garden USA inventoried items ordered are FOB Port St Lucie, Florida .

Delivery:

Delivery is made by local common carrier and via tractor trailer in most cases.

It is the responsibility of the buyer to unload the pallets from the delivery truck. All products will be palletized. The buyer is responsible to have proper equipment and staffing to unload the pallets from the delivery truck.

Viducci's Garden USA will not be held responsible for any damage that may arise as a result of the buyer?s unloading of the product.

Returns:

Viducci's Garden products are carefully inspected and packaged prior to being shipped from our facility in Vietnam. Any and all claims must be noted at the time of delivery on the delivery receipt. The buyer must notify Viducci's Garden USA and the delivery carrier within 48 hours of delivery for any claim to be honored.

Returns other than damaged product determined to be shipped defective may be subject to a 25% restocking fee.
